Are there any flags in Device Manager?
Did you load any programs after installing Win2000?

Well it sounds like ram problems but you say that's checked out. If you could get your hands on another good stick it would totally rule that out. 256 is really on the low side but should get you running.
Power supply is the very minimum. It would be nice if you could try a swap there, too. 400-450 would be a better choice.
Are positive you have the correct drivers in the Msi Kt3 Ultra viakt333 chipset and the Nvidia Geforce4 MX 420? Especially the Video Card...that can leave you freezing.

Thank you for the response!
As for the drivers there the same ones I have been using since I first built the system 2 years ago. I will swap the power supplie and am working on getting another stick of mem. I have my doubts as to the ram even though Memtest says its ok. Any body know how to check the powersupplie or know anything about Elixir brand mem
Thanks again any help is appreciated.

You could have the power supply checked at a repair shop but the point was that it may be a "tad" to small.
Elixir is probably as good as the rest but any company's hardware can get old or be defective. If you going to by new....get more.
